1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of ToolsGrid (toolsgrid.ai) and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. About the Service

ToolsGrid is an online directory and comparison platform for AI software and related tools. We provide informational listings, search and filter tools, a compare feature, editorial content, and optional sponsorship placements.

We do not provide the third-party tools listed on the Service. Any decision to purchase or use an external product is solely between you and that provider.

Listings are provided for discovery and comparison only. A tool's presence in the directory does not mean we endorse, recommend, or verify that product. We do not host, generate, or display content created by listed tools.

3. Eligibility

You must be at least 18 years old (or the higher minimum age required in your jurisdiction) to use the Service. By using the Service, you represent that you meet this age requirement.

4. Accounts

Some features (such as submitting a tool or viewing your submission status) require an account. You agree to provide accurate information, keep your credentials secure, and notify us promptly of any unauthorized use. You are responsible for activity under your account.

5. Acceptable Use

You agree not to:

Violate any applicable law or regulation
Infringe intellectual property, privacy, or other rights of others
Submit false, misleading, or unauthorized listings or content
Upload malware, spam, or harmful code
Scrape, crawl, or harvest data from the Service without permission
Interfere with the security, integrity, or performance of the Service
Circumvent access controls, rate limits, or payment requirements
Use the Service for unlawful, deceptive, or abusive purposes
Submit or promote listings for tools whose primary purpose is illegal content (including child sexual abuse material or non-consensual intimate imagery)
Submit listings for products you are not authorized to represent
Misrepresent what a listed tool does or who operates it

6. Listings, Submissions & User Content

When you submit a tool, comment, or other content ("User Content"), you represent that you have the right to submit it and that it is accurate to the best of your knowledge.

You retain ownership of your User Content. You grant ToolsGrid a worldwide, non-exclusive, royalty-free license to host, display, reproduce, adapt, and distribute your User Content solely to operate, promote, and improve the Service (including in listings, search results, and marketing materials for the Service).

We may review, edit, reject, reorder, or remove any listing or User Content at any time, with or without notice, especially if we believe it violates these Terms or harms users or the Service.

If you submit a tool, you represent that it complies with applicable laws and that you will not use ToolsGrid to promote unlawful products or services. We may reject or remove listings for tools that are primarily adult-only, illegal, or otherwise inappropriate for our directory, at our sole discretion.

7. AI-Assisted Features

The Service may use automated tools and artificial intelligence to suggest listing details from public website content. AI output may be incomplete or incorrect. You are solely responsible for reviewing and approving any submitted information before publication.

8. Paid Services

Optional paid offerings are limited to sponsorship placements. Prices and features are shown at checkout. Directory listings are free.

One-time fees: Unless stated otherwise, fees are one-time charges for the described period or service — not recurring subscriptions.
Payment: Payments are processed by third-party providers (e.g. Stripe or Polar). We do not store full payment card details.
Refunds: Except where required by law, sponsorship fees are non-refundable once fulfillment has begun. Contact us regarding billing errors.
No guaranteed results: We do not guarantee traffic, rankings, conversions, or revenue from any listing or sponsorship.

9. Intellectual Property

The Service, including its design, branding, software, and original content, is owned by ToolsGrid or its licensors and protected by intellectual property laws. You may not copy, modify, or redistribute our materials except as permitted by these Terms or with written consent.

Tool names, logos, and trademarks displayed in listings belong to their respective owners and are used for identification purposes only.

10. Third-Party Links & Services

The Service contains links to third-party websites and products. We do not control and are not responsible for third-party content, policies, pricing, or practices. Your use of third-party services is at your own risk and subject to their terms.

When you leave ToolsGrid and use an external AI tool, that tool's features, outputs, and restrictions are controlled solely by its provider. ToolsGrid is not responsible for anything you generate, view, or download on third-party websites, including content that may be adult-oriented or restricted in your jurisdiction.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that listings are complete, current, or accurate.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLSGRID AND ITS OPERATORS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless ToolsGrid and its operators from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Sections that by their nature should survive termination will survive (including intellectual property, disclaimers, limitation of liability, and indemnification).

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may be communicated through the Service or by email where appropriate. Continued use after changes take effect constitutes acceptance.

16. General

These Terms constitute the entire agreement between you and ToolsGrid regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
